Terms of Service

1. Acceptance of Terms

By accessing and using the services of HRMANAGEMENT SRL ("we," "us," or "our"), you accept and agree to be bound by these Terms of Service. These terms are governed by Italian law, including the Italian Civil Code and relevant commercial regulations.

2. Services Provided

HRMANAGEMENT SRL provides marketing and consulting services for the hospitality industry, including:

  • Brand strategy and positioning
  • Digital marketing campaigns
  • Content creation and management
  • Guest experience design
  • Revenue management consulting
  • Reputation management

3. Service Agreements

All services are provided under individual service agreements that specify:

  • Scope of work and deliverables
  • Timeline and milestones
  • Fees and payment terms
  • Intellectual property rights
  • Confidentiality obligations

Service agreements must be signed by both parties and are subject to Italian contract law (Articles 1321-1469 of the Italian Civil Code).

4. Payment Terms

Unless otherwise specified in the service agreement:

  • Payment terms are net 30 days from invoice date
  • A 50% deposit may be required before project commencement
  • Late payments are subject to interest as per Italian Legislative Decree 231/2002
  • All prices are exclusive of VAT (IVA) at the applicable rate

5. Intellectual Property Rights

Client Materials: Clients retain all rights to materials provided to us.

Deliverables: Upon full payment, clients receive ownership or license rights to deliverables as specified in the service agreement.

Our Materials: We retain rights to our methodologies, templates, and pre-existing materials.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the business relationship. This obligation survives termination of services and is enforceable under Italian law (Article 2105 of the Italian Civil Code).

7. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information
  • Grant necessary access to systems and materials
  • Respond to requests within agreed timeframes
  • Ensure they have rights to materials provided to us
  • Comply with applicable laws and regulations

8. Limitation of Liability

To the maximum extent permitted by Italian law:

  • Our liability is limited to the fees paid for the specific service
  • We are not liable for indirect, consequential, or special damages
  • We are not responsible for third-party actions or services
  • Results may vary and are not guaranteed

This limitation does not affect liability for gross negligence, willful misconduct, or personal injury as required by Italian law.

9. Termination

Either party may terminate services:

  • With 30 days written notice
  • Immediately for material breach
  • Immediately if the other party becomes insolvent

Upon termination, clients must pay for all services rendered up to the termination date.

10. Dispute Resolution

Any disputes arising from these terms or our services shall be:

  • First attempted to be resolved through good-faith negotiation
  • If unresolved, subject to mediation as per Italian Legislative Decree 28/2010
  • If mediation fails, subject to the exclusive jurisdiction of the Courts of Milan, Italy

11. Governing Law

These Terms of Service are governed by and construed in accordance with Italian law, without regard to conflict of law principles.

12. Right of Withdrawal (Consumer Clients)

If you are a consumer (as defined by Italian Consumer Code - Legislative Decree 206/2005), you have the right to withdraw from the contract within 14 days without giving any reason, unless services have commenced with your express consent.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to this website. Continued use of our services constitutes acceptance of modified terms.
